I can t see why anyone at this point in the game would want to. The individual owners are making the smallest profit margins than ever due to the $5 foot long. If you sell 100 sandwiches in a day, you ve only made $138 profit for the day.On top of that, most small to medium size cities already have at least one, if not two or more. LLC is usually the best option for the type of business you are talking about. You could incorporate, but that is a huge pain in the butt to deal with: another level of tax reporting (though not taxes, if you are a Sub-Chapter S corp.), reporting to the state, state excise taxes, annual report filing fees, etc. etc. Sub-S status does have some advantages, though. For instance, as long as you pay yourself a reasonable salary for your work (you need to be on payroll if you have a corp, you don t just take draws) then anything left over at the end of the year does not get the double self-employment tax; it just gets taxed at your income tax rate. Also, since you are an employee of the corp, you can lay yourself off if business gets bad and get unemployment compensation. States usually have stricter standards when an owner/manager of a Sub-S corp lays himself off, but if it is legitimate you should have no problem. I am not sure the extra bother and expense is worth it unless you are a very seasonal business and expect to lay yourself off every year (like if you live in a resort area of some kind.) An LLC gives you the same level of liability protection that a corporation does, without all the corporate paperwork and (sometimes) the state fees. Keep in mind, though, that neither the LLC or a corporation will be able to get a loan without you co-signing for it, and anything that you personally do that is fraudulent or illegal will still attach liability to you. If you have any questions about this, I would get in touch with a lawyer. Keep in mind, though, that lawyers tend to like corporations for some reason. I think they like to make money writing up articles of incorporation and doing your filings.

You d have to get a heavier stock paper and honestly I don t think people would hold on to them. For flyers you can use a simple word document to build a flyer until you can afford to have them made. Stick with a professional, clean look and offer an introductory discount if you can. That is a great way to get your foot in the door and build clientelle. Once you visit them the first time you should have business card magnets that can go up on their refridgerator for future appointments. Anyways back to the flyers- You could print on regular 8 1/2 x 11 paper but have two ads per page. You should hole punch one of the top corners and loop a rubber band through it so that it can hang from a door knob. Try a limited run of these and see how many responses you get back from the ad total to see if it is effective enough to cover the expense. I would use a colored paper with black ink. That way it is a little more eye-catching but you don t spend a ton on color ink. Of course you can always update/upgrade down the road. Design-wise you should obviously play of the green products appeal. S-corp may be better for you. look into your options before you do that, but you must do it. Make sure you are legally allowed to do this on your land.once that s out of the way and your business is FORMED legally, IMMEDIATELY go to work on your working capital.. IMMEDIATELY go to work on YOUR personal credit, and learn very quickly how to establish BUSINESS credit (which is very very very very difficult for start ups)ok.. lets say you have that started..here are your options..1. Find an investor who will spot you some money to build it the way you want to build it. of course then the investor owns a big chunk of it. 2. Start SMALL. plan the entire thing, but build it in sections. i don t know your acreage, but lets say there are 20 acres you can make into an RV park... make 5 acres into an RV park, and start making use of that immediately. use that revenue to recoup your investment and let it put you in the red again. that may take a year or two! by that time you have PROBABLY established a bit of company credit, as well as a little bit of equity and savings potentially, even if the savings is really just recouping your investment. take that and try to get a loan from the bank. if you re denied, use your investment money again... either way, build phase two once you have the money to be able to... then make use of phase 2... keep adding to it as you can.. within 2 years as an established business, you SHOULD be able to get a loan, or an open line of credit, or any of the things that companies and corporations are entitled to. whatever you do by the way DO NOT set this up as a sole proprietorship... there is no protection in this. also, another thing you SHOULD do is PERSONALLY own the land, and then charge RENT to your company for using the land. Contact your state department of labor. This is highly illegal and needs to be stopped. If you are working over 40 hours in a pay week at one job, you deserve overtime for each hour after the first 40. If your employer uses a 2 week pay schedule, make sure that your 40 hours are all in the same week. The case will not be that easy to prove at first. The state will have to observe you working for the entire week and comparing the documented hours on your paycheck.

Have your accountant extract some monthly P L statements, and maybe a cash flow statement, from QB and have him attach a letter on his letterhead explaining that you work for yourself, and that he feels that these statements are a reasonable reflection of your income, or at least that he has worked for you x number of years and is your accountant. Can you reserve the right to search anybody for illegal or prohibited items at a night club?

I am not sure if you are asking if you can search some one at your nightclub or if a nightclub has the right to search you. Anyways I don t know if the can force a search upon you BUT in most states, if you have a liquor license, I assume you the place you are referring to as the night club sells alcohol, therefore they would have a license. A holder of a liquor license and their employees they can refuse anyone they want for any reason without explaining why. So if you or someone else refuses a search they do not have to let you/some one else in.

the constitution is the highest law of the land...or at least it is suppose to be....a search and seizure requires a warrent.... it seems illegal if they do this... i mean they re not cops and cops can only do that if they have probable cause like you re drunk or you say you have a weapon....

you are entering a private business, of course they can - don t bring in anything illegal and you have nothing to worry about

go to your local city offices and register for a business permit- its freaking expensive, but thats the next step. Since it is a home based business you will need to pay for a home occupancy permit and then a business license/ tax certificate. In my city it is 25 bucks for the home permit and then 75 for a sole proprietorship business license. Other types of businesses are more. Also prepare to get taken to the cleaners on taxes, there is a $500 minimum self employment tax, plus a good chunk of your earnings will go to taxes. Next, go to a bank and register for a business account- again, prepare to be financially raped. Good luck
