I am attending a medical camp this summer in California and the tuition is almost $3000. I also have to pay for a plane ticket there and back. I am dissolving my LLC that I started early in the summer.Do I have to fulfill contracts that I signed? -

My company was an automotive magazine, and I was paying a distribution company to deliver my magazines weekly. The owner of that company is telling me that I have to continue for another 30 days, otherwise I will be responsible for entire contract. If I no longer have a magazine to be distributed, can he do this, even if this is in the contract? Also, if I am out of business, can he come after my personal assets? I am a one member LLC.

It depends on the contract. The contract would have provisions in it having to do with all that. Also, you would be liable if a part of the contract specifically states that you are signing it personally besides signing it as a representitive of the LLC. You should check with a lawyer, though, because it really does depend on the wording of the contract for how much and for how long you or your LLC are on the hookI think that if you didn t sign anything saying that you have personal liability, then he can t go after your personal assets. Just because you don t have a mag to distribute doesn t mean that he can t hold your biz to a contract that says he needs 30 days notice to dissolve the contract. I assume that is the 30 day issue? Without seeing the contract, it is hard to give you a more definite answer, and I am not a lawyer either.

I will add to Neil s statement. I agree with him as well though. It also depends on your operating agreement. Do you have one? If not, since you are a SMLLC, you are likely going to be liable. If you do have one, it depends on how it was written to determine how personal liability is concerned.

Ebay fraud. What to do next? -

Ok, so 4 weeks ago I purchased an item on ebay for $116. After two weeks, it still hadn t come so I contacted the seller and received no reply to the 3 emails i sent. (I allowed 5 days for a response).Then, I saw the sellers feedback score had changed from only 8 positive, to 8 positive (all buying), and 4 negative (all who had the same problem as me).I have also lodged a complaint on paypal, and escalated that into a paypal claim (which is still pending).Anyway, I have messaged the other victims of this fraud, and we are willing to send a police report. Is this a good idea, as the seller obviously has our addresses since he was meant to post out our items???I ALSO have all his contact details including full name, address and phone numbers (which I have rung but as soon as I mention ebay I get hung up on).What should I do from here, and I HATE being ripped off to pathetic thugs, and I (and the other ebay users) want out money back.

Paypal have been sounding off about their wonderful Buyer Protection (which last year in Australia was advertised at $20,000 as part of a marketing campaign - probably been reduced by now) so theoretically you should have nothing to worry about if you followed all the eBay rules. But I have a nasty feeling that they try to squirm out of paying by claiming that the seller has cleaned out their Paypal account and there is no money to refund. This is false advertising and basically fraud if it is true, so I hope it is not. Maybe someone else can offer some real life experience, hopefully positive, for you in this nasty dilemma.
