Need advice on how a 50% partnership / buy in on a business would work? -

Hi there,I am in the process of trying to sell my online web design business. I have been approached w/ many different proposals but this one has me liking it. I will be able to stay on with the business while getting help with it at the same time to grow it. - my main reason for selling is that I don t have the time anymore.How does a 50% partnership on a business work? (specifically that of an online business). Net revenue was $54,000 last year and I have heard responses from people that because I am the business, they are not sure revenue can sustain at that rate. Does the person who wants 50% buy into the business for one lump sum? How is this sum calculated? Is it paid out annually or just once?This is how it was worded to me:They would buy an agreed percentage of the business based on expected PROFITbased on past trends of monthly income. The revenue for each job would besplit 3 ways - 1. The Admin side of the job, dealing with clientcommunications etc. (15%), 2. The design/development work (60%), 3. Profit(25%).Example: If we were 50% partners and we got 3 jobs in one month totaling$4.5k. If I were busy with the family but still had a bit of time to dealwith the admin side of the 3 jobs but not do the actual jobs and they didthese. The breakdown would be...Me (CURRENT OWNER): $675 (15% of the total for admin work) + $562.50 (50% of the profit)= $1237.50Them (PROSPECTIVE BUYER): $2700 (60% for design work) + $562.50 (50% of the profit) = $3262.50The benefits of this are that there is guaranteed income from the profitbased on your percentage stake in the business as well as being rewardedfor the amount of time you can invest (Salary). All the percentages etc.can be changed to something both parties agree on.How would the total buy in be calculated? I m pretty confused as to how this whole thing works.What kind of contract would be needed? Lawyer? THANKYOU in advance!

When they say that they want to buy in with a lump sum that means they will make one payment for 50% of the company. If i were you i would ask myself, 1. Will this new partnership increase sales revenue? You dont want to do business with a company that will only hurt you in the long run, even if the offer is very appealing. 2. Are they offering you enough money? They said it themselves they need you to keep working because they dont think the business will do as well without you. so if you grossed 54,000 and they are buying into you... i wouldnt take less than 50,000 for the company. You would definitely need to hire a lawyer to peruse through the contract and point out any loopholes because im sure there are. Best of luck to you and your business!

On ebay there is no way to do that. I m pretty sure you can do it on Auctiva though.

Actually you can do this. In My Ebay, instead of going to All Selling go to Active Selling and it will give you page views for all of your items. There s even a views refresh button. I only responded to this because I had this same question and had to figure it out for myself after going nuts! Report Abuse

Money for business venture? -

I own my home but not much equity left in it after the deposit (damn recession) I need to raise a few thousand to start a business. I am considering a partner but I still need to put in a share. Any ideas where to go for money? Any alternative sources? all suggestions welcome. TIA

You could try taking your business plan to the bank and asking. But even so they would still want to see you putting in a contribution of you own money.If you borrow off market the interest charges will be horrendous.Have you any family that are prepared to take the risk with you. If you are really keen and positive it will be a success then you do have the option of selling it to raise whatever small amount is there. That will show real commitment and that bank may then help you.

You can search completed listings on Ebay.Search for items like the one you want to sell. Then look at the completed listings. You will be able to see if they sold and for how much.

Costumer cancel contract after 2 months? 10 points for best answer!!!!? -

My Mom and Dad own a small plumbing company ,they have a costumer that approved and signed work that needs to be done for a restaurant,he gave a deposit that way my dad can purchase material after everything was agreed (he changed his mind many times of what he wants) 2months later he decided he didn t want any work to be done and he wants his money back (the deposit to be returned) which is ok we told him we have to deduct about 5% because my dad already purchased material and he took time to travel to his location several times,The customer is now harassing over the phone and he wrote harassing letters we explain him we will take care of it ,but he wants the full amount back after he back up from a contract what can my mom and dad do?

Well hopefully you had something in the contract that included a penalty for backing out of the contract. If you did not, or if the contract specified that you would give a full refund on cancellation, then you are pretty much screwed. Either way, if you ask for the 5%, you are going to have a really angry customer. If you have it in writing, at least you will have the contractual authority to do it though. If you do not, you might just have to eat the cost and try to recover some of the price of the material.

I agree with Christian Brown. If there is a clause in the contract governing the cancellation or early termination of the contract, then you are okay. If not (put one in for future cases), them you may own the customer a full refund.

this is why your mom and dad should have the customer sign a contract with your mom and dad before anything is done. if you don t do it this way then things like this will happen, you might want to tell your parents to seek legal counsel to solve this problem. Nothing wrong with McDonald s. It s a well thought of reference to have on your resume. It s not like you have to work there for life either :) Just think of it as a stepping stone. You ll get a fairly good range of skills from working in that environment.
